Terms of Service.

1. Who we are

GHZ Creative - F.Z.E(“GHZ Creative”, “we”, “us”) is a Free Zone Establishment registered in Ajman, United Arab Emirates, under licence number 49512. We operate the website ghzcreative.ai, the API at api.ghzcreative.ai, and the desktop applications distributed under that domain.

2. Acceptance of these terms

By creating an account, downloading one of our applications, or paying for a subscription, you agree to these terms and to our Privacy Policy, Acceptable Use Policy, and Refund Policy, which form part of this agreement.

If you do not agree with any part of these terms, you must not use the services.

3. Eligibility

You must be at least 18 years old, or the legal age of majority in your jurisdiction, to create an account. If you use the services on behalf of a company or organisation, you confirm that you have the authority to bind that entity to these terms.

4. Accounts

You are responsible for the accuracy of the information you provide and for keeping your credentials confidential. You must notify us promptly at security@ghzcreative.ai if you suspect unauthorised access to your account.

We may suspend or terminate accounts that breach these terms, that are linked to fraud or chargebacks, or that disrupt the services for other users.

5. The services

GHZ Creative provides:

• GHZ Code — a macOS desktop application for agentic terminal workflows.
• GHZ Voice — a macOS desktop application that records audio and returns transcriptions and cleaned text by routing requests to third-party AI providers through our backend.
• Account & billing services — the website account dashboard, the licence-verification API, and the Stripe checkout and customer portal integrations.

The applications run locally on your machine but require an active account and an active subscription tier to unlock paid features. Some features depend on third-party providers (see Section 11) and are subject to their availability.

6. Licence to use the applications

Subject to your compliance with these terms and your payment of any applicable fees, GHZ Creative grants you a personal, limited, non-exclusive, non-transferable, revocable licence to install and run the GHZ Code and GHZ Voice applications on devices you own or control, for the duration of your subscription or for the lifetime of a one-time purchase.

You may not: (i) resell, sublicense, or distribute the applications; (ii) reverse-engineer, decompile, or attempt to extract the source code, except to the extent expressly permitted by applicable law; (iii) remove or alter any proprietary notices; or (iv) use the applications to build a competing product.

7. Subscriptions, billing, and renewal

We offer two paid plans, GHZ Plus and GHZ Pro, each available as a monthly subscription or a one-time lifetime purchase. Prices are listed on the pricing page in US Dollars (USD).

Payments are processed by Stripe. By subscribing to a monthly plan, you authorise us to charge your payment method automatically at the start of each renewal period until you cancel. You can cancel at any time from the billing section of your account, and your access will remain active until the end of the current billing period.

Lifetime purchases grant access to the included applications for as long as we operate the service. They are paid once and do not renew. If we permanently discontinue an application, we will give reasonable notice and, where appropriate, offer a replacement or a partial refund as detailed in the Refund Policy.

8. Taxes

Prices are exclusive of any value-added tax, sales tax, or equivalent that may apply in your jurisdiction. Stripe collects and displays applicable taxes at checkout where required by law.

9. Refunds

Refunds are handled in accordance with our Refund Policy. In short: monthly subscriptions can be cancelled at any time and are not refunded pro-rata, while lifetime purchases are eligible for a refund within 14 days if the product does not work as described.

10. Acceptable use

You agree to use the services in accordance with our Acceptable Use Policy. In particular, you must not use the GHZ Voice transcription and cleanup features to process content that is illegal, that infringes third-party rights, or that the third-party AI providers (Groq, OpenAI, Anthropic) prohibit under their own usage policies.

11. Third-party services

The services rely on third parties — including Stripe for payment processing, Groq, OpenAI and Anthropic for AI inference, Resend for transactional emails, Google for optional OAuth sign-in, and Vercel for website hosting. Your use of the services is also subject to their respective terms. We are not responsible for outages, errors, or changes made by these providers.

12. Intellectual property

All rights, title, and interest in and to the GHZ Creative website, the GHZ Code and GHZ Voice applications, the API, the logos, the documentation, and all related content remain the exclusive property of GHZ Creative or its licensors. These terms do not transfer any ownership to you.

Content you create, dictate, or input remains yours. By using GHZ Voice, you grant us a limited, non-exclusive licence to process your audio and text strictly for the purpose of providing the transcription and cleanup features back to you.

13. Beta features and changes

Some features may be marked as beta, preview, or experimental. They are provided as-is and may be modified or removed without notice. We may update, add, or remove features of the services at any time. Material changes that affect paid plans will be communicated by email or via the website with reasonable notice.

14. Disclaimers

To the maximum extent permitted by law, the services are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.

The applications are productivity tools. They produce output generated, in part, by third-party AI models that can be inaccurate, biased, or incomplete. You are responsible for reviewing the output before acting on it.

15. Limitation of liability

To the maximum extent permitted by law, GHZ Creative, its directors, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the services.

Our aggregate liability for any claim arising out of or in connection with these terms shall not exceed the greater of (i) the total amounts you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim, or (ii) one hundred US Dollars (USD 100).

16. Termination

You may close your account at any time from the account dashboard. We may suspend or terminate your access if you breach these terms, if your payment fails and is not corrected, or if we are required to do so by law.

Upon termination, your right to use the services ceases immediately. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and governing law — will survive.

17. Changes to these terms

We may update these terms from time to time. The current version is always available at ghzcreative.ai/terms, with the effective date shown above. If we make material changes, we will notify you by email or through the account dashboard. Continued use of the services after the changes take effect constitutes acceptance of the updated terms.

18. Governing law and jurisdiction

These terms are governed by the laws of the Emirate of Ajman and the federal laws of the United Arab Emirates, without regard to conflict-of-law principles. Any dispute arising out of or in connection with these terms shall be submitted to the exclusive jurisdiction of the competent courts of the Emirate of Ajman, unless mandatory consumer-protection law in your country of residence grants you the right to a different forum.
